Acceptance of Terms

By downloading, installing, accessing, or using Shrixa or any service provided by Econicial Intelligence ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

These Terms constitute a legally binding agreement between you and Econicial Intelligence, a company operating from Bengaluru, Karnataka, India. These Terms apply to all versions of Shrixa including Android, iOS, and web.

Description of Services

Shrixa is an AI-native practice intelligence platform for Indian Chartered Accountants. The Services include:

• TDS calculation workspace covering 20+ sections of the Income Tax Act with legal citations.
• Income tax computation tools including regime comparison, Chapter VI-A deductions, and PGBP.
• Client compliance management — checklists, health scores, ITR readiness tracking.
• Daily Regulatory Pulse — AI-curated compliance alerts with Finance Act citations.
• Document intelligence — OCR of Form 16, 26AS, broker statements via Azure Document Intelligence.
• Financial modeling — DCF, WACC, valuation, and scenario analysis tools.
• Asset Classification Intelligence — actuarial scoring for TDS asset classification.
• Litigation RAG — AI-powered search over Income Tax Act 2025 and case law.

Eligibility

You must be at least 18 years of age to use Shrixa. The Services are intended for use by Chartered Accountants, financial professionals, and businesses in India. By registering, you represent that you meet these requirements and that all information you provide is accurate.

Accounts & Registration

You must register for an account to use Shrixa. You are responsible for maintaining the confidentiality of your account and for all activities that occur under it. You agree to notify us immediately at hello@econicial.com of any unauthorised use.

Shrixa uses Firebase Authentication with magic link (email OTP). We do not store passwords. You are responsible for maintaining access to your registered email address.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in activity harmful to other users or the platform.

Pricing & Billing

Shrixa is offered on the following subscription tiers, billed in Indian Rupees (INR):

Annual billing is available at 10 months' price for 12 months' access (approximately 17% discount). All prices are exclusive of applicable GST. Pricing is subject to change with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

Subscriptions are non-refundable except where required by applicable law. If you believe a billing error has occurred, contact hello@econicial.com within 14 days of the charge.

Acceptable Use

You agree not to:

• Use Shrixa for any unlawful purpose or in violation of any applicable Indian law or regulation.
• Attempt to reverse-engineer, decompile, or extract source code from Shrixa.
• Use automated tools, bots, or scrapers to access or extract data from the Services.
• Share your account credentials with others outside your permitted staff accounts.
• Upload malicious files, viruses, or content designed to disrupt the Services.
• Misrepresent your identity, professional credentials, or affiliation.
• Use the Services to process data for which you do not have lawful authority under applicable law including the DPDP Act 2023.

Intellectual Property

Shrixa, its design, codebase, AI models, RAG pipeline, TDS calculation logic, Asset Classification Intelligence framework, and all related technology are the exclusive property of Econicial Intelligence. Nothing in these Terms grants you any ownership interest in the Services.

You retain ownership of all data you input into Shrixa — including client data, financial figures, and uploaded documents. By using the Services, you grant Econicial Intelligence a limited, non-exclusive licence to process your data solely to provide the Services to you.

CA Professional Obligations & Client Data

This section applies specifically to Chartered Accountants using Shrixa to manage their practice and their clients' data.

By using Shrixa to process client data, you represent and warrant that:

• You have obtained all necessary consents and authorisations from your clients.
• Your use of Shrixa complies with your professional obligations under ICAI guidelines.
• You will use the CA-to-client mapping consent flow within Shrixa for all client data mapping.
• You will not input data for clients who have not consented to their CA using Shrixa for their affairs.

Econicial Intelligence is not liable for any breach of professional duty, client complaint, or regulatory action arising from a CA's use of Shrixa in a manner inconsistent with their professional obligations.

AI Features

Shrixa uses the Anthropic Claude API to power AI features including TDS section suggestions, anomaly detection, the Daily Regulatory Pulse, and the Litigation RAG. These features are designed to assist professional judgment — not replace it.

You acknowledge that:

• AI outputs may contain errors and must be verified before use in professional filings.
• Finance Act citations provided by Shrixa AI are sourced from our RAG pipeline but should be independently verified for critical matters.
• Econicial Intelligence does not guarantee the accuracy, completeness, or currency of AI-generated outputs.
• You remain professionally responsible for all advice given to clients and all filings made, regardless of AI assistance received from Shrixa.

Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.

All data is stored in AWS ap-south-1 (Mumbai) in compliance with the DPDP Act 2023. We do not sell your data. We do not train AI models on your data.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ECONICIAL INTELLIGENCE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Shrixa is a professional assistance tool. It does not constitute legal, tax, financial, or investment advice. All TDS calculations, regime comparisons, compliance alerts, and AI outputs are for informational purposes and must be verified by the responsible professional before use.

Tax law changes frequently. While we update Shrixa promptly when laws change, we do not guarantee that the Services reflect the most current legal position at all times. You are responsible for staying current with applicable tax law in your professional capacity.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECONICIAL INTELLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

In no event shall Econicial Intelligence's total aggregate liability to you for all claims arising from or relating to the Services exceed the amount you paid to Econicial Intelligence in the three (3) months immediately preceding the event giving rise to the claim, or ₹8,500 (Indian Rupees Eight Thousand Five Hundred), whichever is greater.

This limitation applies regardless of the form of action — whether in contract, tort, negligence, or otherwise — and even if Econicial Intelligence has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless Econicial Intelligence, its founders, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: your use of the Services in violation of these Terms; your breach of any representation or warranty; your violation of any applicable law or third-party rights; or your processing of client data without the required consents.

Termination

You may terminate your account at any time via in-app settings or by contacting hello@econicial.com. See our account deletion page for the full process.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if continued access poses a security or legal risk. We will provide notice where reasonably practicable.

On termination, your right to use the Services ends immediately. Provisions that by their nature should survive termination — including Sections 7, 8, 11, 12, 13, and 15 — shall survive.

Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in Bengaluru, Karnataka, India. You consent to the personal jurisdiction of such courts and waive any objection to venue in Bengaluru.

For disputes involving amounts under ₹1,00,000, the parties agree to first attempt resolution through good-faith negotiation for 30 days before initiating legal proceedings.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via in-app notification or email at least 14 days before the changes take effect. The updated Terms will be posted at econicial.com/terms.html with a new "Last updated" date.

Continued use of the Services after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to updated Terms, you must stop using the Services before the effective date.
